Terms of Service

Please read these terms carefully before using our services.

1. Acceptance of Terms

By accessing and using the services provided by TORQ IT SOLUTIONS Sdn Bhd ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

TORQ IT SOLUTIONS provides IT consulting, custom software development, cloud services, web development, and related technology services. The specific scope of services will be defined in a separate agreement or statement of work.

3. Client Obligations

Clients are responsible for providing accurate information, timely feedback, and necessary resources to enable the successful delivery of services. Delays caused by the client may result in adjusted timelines and additional costs.

4. Intellectual Property

Upon full payment, ownership of custom-developed software and deliverables will be transferred to the client as specified in the project agreement. We retain the right to use general methodologies, frameworks, and non-proprietary techniques developed during the engagement.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This obligation survives the termination of our working relationship.

6. Payment Terms

Payment terms will be specified in the project agreement. Unless otherwise agreed, invoices are due within 14 days of issuance. Late payments may incur interest charges at the rate of 1.5% per month.

7. Limitation of Liability

Our liability is limited to the amount paid for the specific services giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

8. Termination

Either party may terminate the engagement with 30 days' written notice. Upon termination, the client is responsible for payment for all work completed up to the termination date.

9. Governing Law

These terms are governed by the laws of Malaysia. Any disputes will be resolved through good faith negotiation or, if necessary, through the courts of Malaysia.

10. Changes to Terms

We reserve the right to update these terms at any time. Continued use of our services after changes constitutes acceptance of the updated terms.
